Business Partner and third-party service provider contract

If you plan to use an implementation Business Partner to implement your IBM Sterling® Order Management System services, you must have a contract between you and your implementation Business Partner. This contract must define your responsibilities and the responsibilities of your Business Partner for implementing, customizing, and operating your IBM Sterling Order Management System services.
As part of your contract, you need to define the responsibilities of your partner that are related to the following tasks:
  • Completing the implementation of the IBM Sterling Order Management System services.
  • Providing any SaaS extensions and providing on-going support for the extensions. You, or your partner, are responsible for developing and support any extensions. As part of supporting your extensions, you, or your partner, must regression test patches before the patches are deployed to your production environment. You or your partner must also agree to respond to any severity 1 issue that is related to your extension.
Important: Your implementation partner must have a contract with IBM for your partner to be permitted to access your IBM Sterling Order Management System environments.

With regards to integrations and third-party services, your IBM Sterling Order Management System service can include integrations with, links to, or be used to access third-party services. Access to third-party services are provided as-is. IBM does not provide you with third-party services under your IBM Sterling Order Management System product. You are responsible for acquiring and complying with separate agreements for any third-party service for which you want to integrate your IBM Sterling Order Management System service. IBM is not a party to any such agreements, unless you acquire such a service through IBM under a separate contract. If you want or need content or data from your IBM Sterling Order Management System service to be provided to a third-party service, you must provide consent to IBM to transmit the content or data. Any such transmission of content or data for this purpose is deemed to be solely between you and your third-party service provider, and is your responsibility.

When you use an implementation business partner for your IBM Sterling Order Management System services, the contracts between you, your partner, IBM, and any third-party service providers, can resemble one of the following contract relationship structures:
  • If your business partner contract is a referral contract, your IBM Sterling Order Management System contract structure can resemble the following relationship structure.

    In this structure, you can have the following contracts:
    • You have a contract with IBM for IBM Sterling Order Management System.
    • You can have a contract with your business partner for the implementation of your services and for customization and support of SaaS extensions.
    • You must have separate contracts with your ISVs to provide services that are not included with your IBM Sterling Order Management System product, such as a content delivery network.
    • You can also have contracts with a digital agency to help provide your site and page designs.
  • If your business partner contract is a reseller contract, your IBM Sterling Order Management System contract structure can resemble the following relationship structure.

    In this structure, you can have the following contracts:
    • IBM has the contract with your business partner for the IBM Sterling Order Management System service.
    • You must then have a contract with your business partner for the IBM Sterling Order Management System service, and for the implementation of your services and for customization and support of SaaS extensions.
    • You must have separate contracts with your ISVs to provide services that are not included with your IBM Sterling Order Management System product, such as a content delivery network.
    • You can also have contracts with a digital agency to help provide your site and page designs.
