Responsibilities
IBM must approve any communications software used to transmit data to (and receive data from) B2B Integration SaaS. If the services provided require a connection of your equipment with B2B Integration SaaS equipment (using common carrier communication devices or terminal equipment), the devices and equipment that you provide (and use) must be of a type approved by IBM. IBM has the sole and exclusive right to select its own equipment, software, and communications carriers to provide services.
You and your trading partners
Unless specified in your contract with IBM, you are responsible for obtaining an appropriate internet service account and connection for accessing B2B Integration SaaS and its Hosted Services.
You and your trading partners will do the following:
- Ensure adequate security over your respective applications, hardware (including installing and maintaining appropriate firewalls to prevent unauthorized access), mailboxes, and transmissions, and you will monitor those mailboxes and transmissions.
- Notify IBM of any translation errors or failures, processing errors or failures, nonconforming transmissions, failures to send or receive transmissions, or inability to access any mailbox.
- Inspect data for accuracy and completeness.
- Set the applicable data-processing parameters and transmission parameters.
- Ensure that appropriate safeguards are in place to identify data, processing, and transmission errors.
- Maintain (and require your trading partners to maintain) supporting data, files, and other materials sufficient to enable IBM to recover all data, files, and other materials (such as card files, tape files, disk files, and printer outputs) needed to re-perform any service.
IBM
IBM is not responsible for the following:
- Data after IBM transmits it to your trading partner or your interconnect services provider.
- Data before IBM receives it from your trading partner of your interconnect services provider.
- Data sent by you to IBM inside your firewall.
- Data sent by your trading partners to you after the data is received inside of your firewall.
- Data that is improperly transmitted by you or your trading partner.
- Loss or corruption of any transaction sets, messages, or other data or communications during transmission.
- Providing any reverse migration services if IBM has terminated any portion of the underlying agreement.
- The accuracy of the data.
- The creditworthiness or performance of any of your trading partners.
- The failure of you or any third party to act on any communication transmitted to (or by) you.
- Your interconnect services (or any errors in or failures of the services) to the extent caused by your interconnect services provider, you, or your trading partners, or any force majeure events.
- Your or any third party's equipment or software errors or failures.
