Creating Amendments

To amend an executed contract, you must create an amendment contract.

Before you begin

You can create an amendment contract if the following conditions are satisfied:
  • The status for the base contract is Executed, Active, or On Hold.
  • You have permission to read the base contract.
  • You have permission to create amendment contracts.

About this task

You must provide the following information when you create an amendment contract.

Feature Description
Amendment name The name of the amendment contract. The name appears in the Emptoris® Contract Management lists, search results, and the Contract Editor title bar. A unique name is not required.
Contract to amend Select the executed contract for which you want to create an amendment. If you select a contract from the Detailed Search results and click the Amend link, this field is automatically populated with the name of the selected contract.
Language Source The source for the language that is contained in the amendment contract. This source can be a contract template, a contract that is created outside the application in the form of a Word document, or an attached file.
Language File If you select a Word document as the Language Source for your amendment contract, browse and select this document. You can map the contents of this document to defined clause templates and term definitions in the Emptoris Contract Management application.
Contract template Select the contract template that is the base for this contract. This template is required to create an authored contract or amendment. Based on the configurations in the User Interface section, a template might also be required for a received, filed contract, or filed amendment.

If you are creating a filed amendment, the search result also contains the contract templates that have an origin of the Filed Amendment selected in the Suitability field on the Properties tab in the Contract Templates window.

Contract title Specify whether the selected language Word document has a contract title. This option applies only if you select a Word document as the Language Source.

If you specify that the Word document has a contract title, then the first line of the document (up to 1024 characters) is considered as the title. If you do not specify that the contract has a title, a blank line is inserted at the top of the document to designate the title region.

Attach Template Language Select this option to ignore the attachment that is specified in the contract template and to add the language that is specified in the contract template instead.
Owning organization Select the organization for this contract. On contract creation, the format template for this organization is applied to the contract and cannot be replaced, even if the owning organization is changed later.
